SECTION 1 — Definitions

"Company" means Sidr Partners Co., a limited liability company registered in the Kingdom of Saudi Arabia under Unified National Number 7054105924.

"Platforms" means the Krooz, Nashmy, and Wujood platforms owned or operated by the Company.

"User" means any natural or legal person who accesses or uses the Platforms or their services.

"Services" means all digital and technical services provided through the Platforms.

"Agreement" means these Terms and Conditions, including any attached annexes and related policies.

SECTION 2 — Acceptance and Consent

By accessing or using any of the Platforms or their Services, the User expressly and unconditionally accepts all provisions of this Agreement.

If the User represents a legal entity, they confirm they are legally authorized to accept these Terms on behalf of that entity.

The User may not use the Platforms if they do not agree to these Terms.

SECTION 3 — Scope of Services

The Company provides its services through the Krooz, Nashmy, and Wujood platforms, including but not limited to: systems integration, software design and programming, UI/UX design, and application development.

The Company reserves the right to modify, partially suspend, or fully discontinue any Services at any time without prior notice.

SECTION 4 — Payment Policy and No-Refund Policy

Payment Finality: All payments made through the Platforms are final and binding upon completion.

No Refunds: Users are not entitled to request a refund of any paid amounts under any circumstances once a payment has been completed, regardless of whether the Service was used or not.

Exceptions: Only reconsidered in cases of a documented technical error attributable solely to the Company that entirely prevents Service delivery.

The Company complies with the Saudi E-Commerce Law issued under Royal Decree No. (M/126).

SECTION 5 — Disclaimer of Liability

The platforms are provided "as is" and "as available." The Company disclaims all liability for:

  • Any direct, indirect, consequential, or incidental damages from use of the Platforms.
  • Any loss of data, profits, or revenue.
  • Any temporary interruption due to technical reasons or force majeure.
  • Any content submitted by Users on the Platforms.

The Company bears no responsibility for unlawful use or use violating Saudi laws. The User alone bears all resulting legal and financial consequences.

The Platforms may contain third-party links. The Company assumes no responsibility for their content.

SECTION 6 — User Obligations

The User agrees to:

  • Provide accurate information when registering.
  • Not use the Platforms for unlawful purposes.
  • Not attempt to breach or compromise Platform security.
  • Not infringe upon intellectual property rights.
  • Bear full legal responsibility for any violations.

SECTION 7 — Intellectual Property

All content, trademarks, and intellectual property rights relating to the Krooz, Nashmy, and Wujood platforms are the exclusive property of Sidr Partners Co.

This Agreement does not grant the User any license beyond ordinary use of the Services.

SECTION 8 — Modification of Terms

The Company reserves the absolute right to amend these Terms at any time without prior notice.

Amendments take effect immediately upon publication.

Continued use of the Platforms constitutes acceptance of the revised Terms.

SECTION 9 — Termination of Service

The Company may immediately terminate or suspend access without prior notice in the event of:

  • Violation of any provision of this Agreement.
  • Suspicion of fraudulent or harmful activity.
  • A court order or request from a government authority.

SECTION 10 — Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Kingdom of Saudi Arabia.

Disputes shall first seek amicable resolution within 30 business days.

If unresolved, the Saudi Commercial Courts in Jeddah shall have exclusive jurisdiction.

SECTION 11 — General Provisions

If any provision is unenforceable, remaining provisions continue in full force.

This Agreement constitutes the entire legal framework between the Company and the User.
